Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Tech At Scale Ltd ("Company", "we", "us", or "our") governing your access to and use of the SoupFinance platform, including any associated mobile applications, websites, and services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- "Account" means a unique account created for you to access our Service
- "Content" means any information, data, text, documents, or materials uploaded, submitted, or displayed through the Service
- "Subscription" means the paid access plan you have selected for using the Service
- "User Data" means all data, including financial records, invoices, and client information, that you input into the Service
- "Authorized Users" means individuals you have authorized to access the Service under your Account
2. Eligibility and Account Registration
2.1 Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Be a registered business entity (for business accounts) or an authorized representative thereof
- Not be prohibited from using the Service under applicable laws
2.2 Account Registration
When creating an Account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your Account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities under your Account
- Notify us immediately of any unauthorized access or security breach
3. Service Description
SoupFinance is a cloud-based corporate accounting and invoicing platform that provides:
- Invoice creation, management, and tracking
- Bill management and payment tracking
- Financial reporting (Profit & Loss, Balance Sheet, Cash Flow)
- General ledger and chart of accounts management
- Client and vendor management
- Payment recording and reconciliation
- Corporate KYC onboarding
- Multi-currency support
Features may vary based on your Subscription plan. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.
4. Subscription and Payments
4.1 Subscription Plans
The Service is offered on a subscription basis. Details of available plans, features, and pricing are available on our website. We may offer:
- Free trial periods (subject to specific terms)
- Monthly or annual billing cycles
- Different feature tiers based on business needs
4.2 Payment Terms
- Subscription fees are billed in advance on a recurring basis
- All fees are quoted and payable in the currency specified at checkout
- Payment is processed through our third-party payment processors
- You authorize us to charge your payment method for all applicable fees
- Failed payments may result in service suspension
4.3 Refund Policy
Subscription fees are generally non-refundable. However, refunds may be considered:
- Within 14 days of initial subscription if you have not substantially used the Service
- In cases of billing errors caused by us
- Where required by applicable consumer protection laws
4.4 Taxes
All fees are exclusive of applicable taxes (including VAT, GST, or withholding taxes). You are responsible for paying all taxes associated with your use of the Service, except for taxes based on our net income.
5. User Responsibilities and Conduct
5.1 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with our Acceptable Use Policy.
5.2 Prohibited Activities
You shall not:
- Use the Service for any illegal or unauthorized purpose
- Violate any applicable laws, including tax and financial regulations
- Transmit viruses, malware, or any malicious code
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated systems to access the Service without permission
- Resell, sublicense, or redistribute the Service without authorization
- Use the Service to store or transmit infringing or unlawful content
- Impersonate any person or entity
5.3 Data Accuracy
You are solely responsible for the accuracy and completeness of all User Data entered into the Service. SoupFinance does not verify the accuracy of financial data and is not liable for errors in your accounting records.
6. Intellectual Property Rights
6.1 Our Intellectual Property
The Service, including all software, designs, trademarks, and content provided by us, is owned by Tech At Scale Ltd and protected by intellectual property laws. You receive only a limited, non-exclusive, non-transferable license to use the Service as permitted by these Terms.
6.2 Your Content
You retain ownership of your User Data. By using the Service, you grant us a limited license to store, process, and display your User Data solely to provide the Service. We will not use your User Data for any other purpose without your consent.
6.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, royalty-free license to use such feedback for any purpose.
7. Data Protection and Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with the Ghana Data Protection Act 2012 (Act 843) and other applicable laws.
Where you process personal data of third parties (such as your clients or vendors) using the Service, you are the Data Controller and are responsible for ensuring compliance with applicable data protection laws.
8. Service Availability and Support
8.1 Service Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable for:
- Scheduled maintenance (with advance notice where possible)
- Emergency maintenance or security updates
- Circumstances beyond our reasonable control
8.2 Support
We provide customer support via email and in-app channels. Support response times and availability vary by Subscription plan.
9. Third-Party Services
The Service may integrate with or contain links to third-party services. We are not responsible for third-party services, and your use of them is subject to their terms and policies.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
- We do not warrant that the Service will be error-free, secure, or uninterrupted
- We do not provide legal, tax, or accounting advice. The Service is a tool to assist with financial management, not a substitute for professional advice
- We are not responsible for decisions made based on data or reports generated by the Service
- We do not guarantee that the Service will meet your specific requirements
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We shall not be liable for loss of profits, revenue, data, or business opportunities
- Our total liability shall not exceed the fees you paid to us in the 12 months preceding the claim
- These limitations apply regardless of the theory of liability
Some jurisdictions do not allow exclusion of certain warranties or limitations of liability, so the above may not fully apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless Tech At Scale Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your User Data or Content
13. Termination
13.1 Termination by You
You may cancel your Subscription at any time through your Account settings. Cancellation takes effect at the end of your current billing period.
13.2 Termination by Us
We may suspend or terminate your access to the Service:
- For violation of these Terms or the Acceptable Use Policy
- For non-payment of fees
- If required by law or legal process
- For any reason with 30 days' notice
13.3 Effect of Termination
Upon termination:
- Your right to access the Service immediately ceases
- You may export your User Data for 30 days after termination
- After 30 days, we may delete your User Data (subject to legal retention requirements)
- Provisions that should survive termination will continue to apply
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the Republic of Ghana, without regard to conflict of law principles.
14.2 Dispute Resolution
Any dispute arising from these Terms shall be resolved as follows:
- Informal Resolution: We encourage you to contact us first to resolve disputes informally
- Mediation: If informal resolution fails, disputes may be submitted to mediation under the Ghana Alternative Dispute Resolution Act
- Arbitration: Unresolved disputes shall be settled by binding arbitration in Accra, Ghana
- Courts: Either party may seek injunctive relief in the courts of Ghana
15. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via:
- Email notification at least 30 days before changes take effect
- In-app notification
- Posting updated Terms on our website
Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
16. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and us
- Severability: If any provision is found unenforceable, the remaining provisions continue in effect
- Waiver: Our failure to enforce any provision does not waive our right to enforce it later
- Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely
- Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control
- Language: These Terms are drafted in English. In case of conflict with any translation, the English version prevails
